A few months after the announcement of the acquisition of nuance communications through Microsoft gave Brussels the green light to go ahead with the deal. On December 21, 2021, the European Commission unconditionally approved the acquisition project. The Commission states in a press release that it has concluded that the transaction “There is no problem of competition within the European Economic Area” would represent. With the acquisition of this voice technology and artificial intelligence company, Microsoft hopes to strengthen itself in the health sector, where Nuance is mainly present. The European Commission’s considerations at a glance

For its part, Microsoft recently launched the Microsoft cloud for healthcare brought to market, which is significantly further developed with Nuance. The two companies have been connected since 2019 to automate administrative tasks.
The European Commission has analyzed the various activities and possible links between the two companies. For example, it was verified and ultimately concluded that there was no horizontal overlap between the activities of Nuance and Microsoft in the software and transcription markets.
Regarding a possible vertical link between Microsoft’s cloud arm Azure and Nuance’s downstream healthcare transcription software, Brussels found no interdependence between the two companies. As regards the use of data transcribed with Nuance software, the Commission believes that access to this data does not benefit Microsoft and will not lead the giant to exclude competing healthcare software providers, as this data is owned by third parties and saved.
Furthermore, Brussels concluded that the resulting company would not be able to disrupt the various markets in which Nuance and Microsoft operate. The competition also remains on the operating system side, as Nuance’s transcription software is only available for Windows.
